1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Useless Company, LLC, a California limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Window Treatments Pro mobile application (the "Application" or "App").

By downloading, accessing, or using the App, you affirmatively agree to be bound by these Terms and acknowledge that you have read and understood them. If you do not agree to these Terms, you must not use the App.

We reserve the right to modify these Terms at any time. Your continued use of the App after changes constitutes acceptance of the modified Terms.

1.1 Incorporation of Privacy Policy

Our Privacy Policy is hereby incorporated by reference into these Terms and forms an integral part of this Agreement.

2. No Professional or Commercial Reliance

The App is provided solely as a general informational and workflow tool. It does not constitute professional advice, guarantees, estimates, measurements, specifications, warranties, or representations of any kind.

You acknowledge and agree that:

  • You assume all risk arising from your use of the App
  • Any decisions, installations, purchases, measurements, or business actions taken using the App are done at your sole discretion and responsibility
  • The App's measurement and calculation features are tools only and should be verified independently
  • We make no representations about the accuracy, reliability, or completeness of any measurements, calculations, or data generated by the App

3. Description of Service

Window Treatments Pro is a mobile application designed to help window treatment professionals manage clients, projects, rooms, windows, and generate measurement documentation. The App is provided on a subscription basis.

4. Account Registration

To use the App, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

5. Subscription and Payment

5.1 Subscription Plans

Access to the App requires an active subscription. Subscription plans and pricing are displayed within the App and are subject to change with notice.

5.2 Billing

Subscriptions are billed through the Apple App Store or Google Play Store. By subscribing, you authorize recurring charges according to your chosen plan.

5.3 Free Trials

If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial ends.

5.4 Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5.5 Refunds

All payments are processed through Apple or Google. Refund requests must be submitted to the respective app store according to their refund policies.

6. User Content and Data

6.1 Your Content

You retain ownership of all data, content, and information you enter into the App ("User Content").

6.2 License to Us

By using the App, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the App's services to you.

6.3 Your Responsibilities

You are solely responsible for:

  • The accuracy of data you enter
  • Obtaining consent from clients before entering their personal information
  • Backing up your important data
  • Complying with applicable privacy laws when handling client data

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's operation
  • Reverse engineer, decompile, or disassemble the App
  • Share your account credentials with others
  • Use automated systems or bots to access the App
  • Upload malicious code or content

8. Intellectual Property

The App, including its design, features, code, and content (excluding User Content), is owned by Useless Company, LLC and protected by copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT, MEASUREMENTS, OR CALCULATIONS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL USELESS COMPANY, LLC BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • DAMAGES RESULTING FROM ERRORS IN MEASUREMENTS OR CALCULATIONS

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Useless Company, LLC from any claims arising from your use of the App, violation of these Terms, or your User Content.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, United States.

13.2 Mandatory Arbitration

ALL DISPUTES ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS shall be resolved exclusively through MANDATORY binding arbitration administered by the American Arbitration Association.

13.3 Class Action Waiver

YOU AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Useless Company, LLC regarding the App.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
